What You'll Be Doing
This is a senior commercial paralegal role with Golden State Foods, supporting the Legal Department in Irvine, CA. You won't be stuck doing one thing all day. You'll own the entire contract lifecycle ; from intake and drafting all the way through negotiation, approval, execution (including e signatures), renewal, amendments, and termination. That means you're the person making sure commercial agreements stay accurate, compliant, and aligned with policy.
You'll review, draft, and redline a wide range of commercial agreements ; both sales and supplier agreements. You'll apply sound judgment to balance business goals with risk mitigation, and you'll know when to escalate complex or high risk matters (with clear context and recommendations).
You'll also drive operational excellence in contract management. That includes administering and optimizing the CLM system, maintaining templates and clause libraries, and improving processes. When routine issues come up, you'll resolve them independently. When something bigger hits, you'll escalate it with the right context.
You'll partner with internal stakeholders to answer contract questions, clarify requirements, and align on business priorities. Building strong cross functional relationships is part of it. So is contributing to team cohesion and overall operational effectiveness.
You'll help maintain corporate records. You'll contribute to Legal department process improvement initiatives ; identifying inefficiencies, proposing solutions, and working with cross functional partners to implement enhancements. And there will be special projects and duties as assigned.
What You Need to Bring
- A Bachelor's Degree.
- A Paralegal Certificate from an ABA Approved Paralegal Education Program.
- At least 4 to 6 years of prior contracts and transactional experience, and it needs to be in house experience.
- Experience reviewing different types of contracts. Food or manufacturing industry experience is a plus, but not required.
- Strong organizational skills with exceptional attention to detail ; because the little things matter here.
- Knowledge and experience applying compliance and regulatory standards.
- The proven ability to communicate at all levels of a business, through any method of communication.
- You can manage multiple priorities and work independently ; even when things get busy.
- Collaboration skills to work with cross functional teams and internal business partners.
- You're a notary public, or you're willing to become one.
- Curiosity and a willingness to tackle matters outside of your expertise. You won't know everything on day one, and that's fine.
